The proportion of Foreign Private Issuers (FPIs) has typically ranged between 10% and 20% of all US IPOs annually. This trend is driven by the depth and liquidity of the US capital markets, the strong investor base and macroeconomic conditions, such as interest rates, inflation rates, and supportive Federal Reserve policies. However, while the US market presents significant opportunities, it also brings challenges in terms of the stringent preparations and readiness required for a successful listing.
While foreign FPIs have accommodations that can help save time and money, it’s crucial for companies to understand how the rules work. Companies must navigate complex accounting, finance, and legal requirements distinct from those of European exchanges. This process includes understanding the specific regulatory environment, such as SEC rules and EDGAR system filings, and adapting financial statements to meet US standards. Additionally, companies must plan for a timeline of up to two years, including planning, filing preparation, SEC review and roadshow. Within these steps, considerations such as board governance rules, proxy rule exemptions, and maintaining investor interest are critical.
